Agreement to these terms
By accessing or using Yahd, requesting an access link, submitting materials, approving a listing, or otherwise using the service, you agree to these terms and acknowledge the Privacy Policy. If you use Yahd for an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the service.
Permitted use
You may use Yahd for lawful professional evaluation, marketing, and management of industrial outdoor storage markets and opportunities. Paid intelligence, exports, credentials, and source materials may not be resold, scraped, republished, shared outside authorized seats, or used to create or improve a competing database or service.
Accounts and access
You are responsible for activity under your access credentials and for keeping sign-in links and sessions confidential. You must provide accurate information and promptly notify Yahd of suspected unauthorized access. Access may be limited by organization, seat, geography, product, field, cadence, or usage limit.
Listings and submitted materials
You represent that you have the rights and authority necessary to submit materials, provide instructions, identify contacts, and authorize publication. You grant Yahd a nonexclusive, worldwide license to host, copy, process, analyze, format, display, and distribute submitted materials only as needed to operate and improve the service and provide authorized listings and related features. Yahd may normalize, verify, reject, expire, correct, suspend, or remove records and listings. You remain responsible for reviewing each listing and confirming its accuracy and publication status.
No investment, legal, or zoning advice
Yahd provides research tools, workflow services, and information. Yahd does not provide investment, legal, tax, environmental, engineering, appraisal, brokerage, or zoning advice. You must independently verify material facts and make your own decisions.
Third-party information and services
Yahd may include public records, user-provided information, maps, links, artificial intelligence output, and services operated by third parties. Such information may be delayed, incomplete, revised, unavailable, or incorrect. Yahd is not responsible for third-party services, content, availability, or practices.
Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YAHD AND ALL CONTENT, DATA, LISTINGS, WORKSPACES, REPORTS, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” YAHD DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, QUIET ENJOYMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. YAHD DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT INFORMATION OR RESULTS WILL BE ACCURATE, COMPLETE, CURRENT, OR SUITABLE FOR A PARTICULAR TRANSACTION.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YAHD AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OPPORTUNITY, OR BUSINESS INTERRUPTION, EVEN IF ADVISED THAT SUCH DAMAGES MAY OCCUR.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF YAHD AND THE PARTIES LISTED ABOVE ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID TO YAHD FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limitations apply regardless of the legal theory and even if a remedy fails of its essential purpose. They do not limit liability that cannot lawfully be excluded or limited.
Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless Yahd and its affiliates, officers, directors, employees, and agents from claims, losses, liabilities, damages, judgments, costs, and reasonable attorneys' fees arising from or relating to your submitted materials or instructions, your use or misuse of the service, your violation of these terms or law, or your infringement of another person's rights. Yahd may control the defense of any covered matter, and you may not settle a claim in a manner that admits liability by or imposes obligations on Yahd without Yahd's written consent.
Suspension and termination
Yahd may limit, suspend, or terminate access, remove content, or decline service when reasonably necessary to enforce these terms, protect Yahd or others, address security or legal risk, prevent fraud or abuse, respond to nonpayment, or avoid material harm to the service. You may stop using Yahd at any time and may request account closure, subject to recordkeeping and legal obligations. Provisions that by their nature should survive termination will survive, including intellectual-property restrictions, warranty disclaimers, liability limits, indemnification, and dispute provisions.
Commercial terms
Fees, term, renewal, seats, implementation, data rights, and support commitments are governed by the applicable order form or written agreement. If it conflicts with these terms, the signed order form or written agreement controls.
Informal dispute process
Before filing arbitration or a lawsuit, the claimant must send a written notice describing the dispute and requested relief to support@goyahd.com. The parties will try in good faith to resolve the dispute for 30 days after receipt. Any applicable limitations period is tolled during that period.
Dispute resolution and arbitration
Except for matters described below, any dispute, claim, or controversy arising out of or relating to Yahd, these terms, or the relationship between you and Yahd will be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. If the AAA determines that its Consumer Arbitration Rules apply, those rules will apply instead. The Federal Arbitration Act governs this arbitration provision.
The arbitration will be conducted in English by one arbitrator. It may occur remotely unless an in-person hearing is required. Any in-person hearing will occur in Boston, Massachusetts, unless the applicable rules or law require otherwise. The arbitrator may award any individual relief available in court, and judgment on the award may be entered in any court with jurisdiction. The applicable AAA rules govern fees and costs.
Either party may bring an individual action in small claims court if it qualifies. Either party may seek temporary or injunctive relief in court to protect intellectual property, confidential information, data, or service security. Claims that cannot legally be arbitrated may proceed only in the courts identified below.
Class-action and jury-trial waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND YAHD WAIVE THE RIGHT TO A JURY TRIAL. EACH PARTY MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN A CLASS, COLLECTIVE, CONSOLIDATED, MASS, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT COMBINE CLAIMS OR PRESIDE OVER ANY SUCH PROCEEDING WITHOUT THE WRITTEN CONSENT OF ALL PARTIES.
A court, not the arbitrator, will decide any challenge to the enforceability of this class-action waiver. If a particular claim or request for relief cannot lawfully be arbitrated on an individual basis, only that claim or request will be severed and may proceed in court after the arbitrable matters are completed.
Right to opt out of arbitration
You may opt out of the arbitration and class-action waiver provisions by emailing support@goyahd.com within 30 days after you first accept these terms. Your notice must state your full name, the email used with Yahd, your organization, and a clear request to opt out of arbitration. Opting out will not affect other terms or your access to the service.
Governing law and courts
Except as governed by the Federal Arbitration Act or otherwise required by law, these terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-laws rules. Any court proceeding permitted under these terms must be brought exclusively in the state courts located in Suffolk County, Massachusetts, or the federal courts located in Boston, Massachusetts. You and Yahd consent to those courts' personal jurisdiction and venue.
Changes and general terms
Yahd may update these terms prospectively by posting a revised version and updating the effective date. Material changes will be communicated when required by law. If any provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will remain effective. Yahd's failure to enforce a provision is not a waiver. You may not assign these terms without Yahd's written consent; Yahd may assign them in connection with a merger, financing, acquisition, reorganization, or transfer of the service.
